OJSC "Manas International Airport" holds annual general meeting of shareholders on the 9th April 2009 at 10:00 a.m. at the following address: "Manas" airport, 3^rd floor of air terminal building, Bishkek, Kyrgyz Republic.

1. Returning board membership.
2. Approval of general management's report on economic activity of the company for 2008.
3. Approval of independent auditor's report.
4. Approval of auditing committee's report.
5. Approval of report on execution of estimate of expenditures for board of directors and auditing committee for 2008.
6. Approval of general management's report on the company's annual budget execution for 2008
7. Approval of balance sheet and income statement for 2008
8. Approval of income distribution order for 2008, size and payment order of dividends for 2008.
9. Board of directors' report on work done for 2008.
10. Approval of budget of expenditures for maintenance of board of directors members for 2009.
11. Approval budget of expenditures for auditing committee members' maintenance for 2009.
