Appeal to stockholders!
It is recommended to use the following reminder for the stockholders who intend to propose candidates to elected bodies (board of directors, auditing committee) and to bring in questions in agenda!
According to item #1 of article #43 of Law "On joint-stock companies", stockholders (stockholder) of a company, who own (s) not less than 1% of voting shares of a company during 30 days after financial year's end (here 30th January 2009) have(s) rights to:
- 1) bring in not more that one proposal in agenda of yearly general meeting of stockholders
- 2) propose one candidate to board of directors and one to auditing comittee
Stockholder(s) have to direct to a company and official letter with reasons of bringing in question in agenda, name of stockholder(s), and amount of owned voting shares. It is also desirable to attach register record to the letter.
In case of bringing in offers on proposal of candidates in elected bodies including nomination of oneself it is required to indicate qualities of candidates and also qualities of the stockholders proposing candidates, amount of owned voting shares. It is recommended to attach candidate's autobiography and photo to the letter. Also it is requires to provide proposed candidate's personal presence on the general meeting of stockholders.
After 30th January 2009 secretaries of companies have to collect received letters and present them for board of directors' consideration.
Not later than 14th February 2009 company's Board of directors must consider received offers and make a decision to include or not to include them in agenda of general meeting of stockholders with mentioning arguments supporting the decision in case of objection.
Question brought in by stockholder(s) has to be included in agenda of general meeting of stockholders same as proposed candidates have to be included in list of candidates for election in elected bodies excluding the following:
- - stockholder(s) presented letter later than 30th January 2009;
- - stockholder(s) owns less than 1% of voting shares of company;
- - stockholder(s) presented incomplete or false information about themselves and candidates;
It is recommended to collect documents in 2 copies and signed by secretary or other officials of company with mandatory note of the date of reception, signature and surname of the one who receives letter.
